Create or fully replace a company

Full upsert from a SeedCompany (same shape as seed files). Everything under the company is replaced, except existing updates (news is append-only). Programs missing from the payload are deleted. ?onlyNew=1 (routines that add companies): 409 and nothing written when the company exists; keep existing ones current with PATCH /admin/companies/{company} and PUT …/items.
