The gaps a lead's counsel usually finds, each a fact with the lines it concerns, its source and where to add what's missing: shares with no issuance document, no consideration, restricted stock with no 83(b) copy, lines confirmed as "Authorization not on file", grants below or long after the 409A, shares above the authorized number, grants above the reserve, SAFEs the cap table leaves out, holders with no address, ISOs above the yearly limit, imported vesting not read, and Form D. Checks of apps not in use say so. It never calls the records clean.
